Alcances y límites de la representación orgánica en la Ley general de Sociedades: Falsus procurator y/o actos Ultra vires

Abstract

En concordancia con los objetivos principales, el propósito de esta tesis fue identificar la categoría e implicancias jurídicas de los actos ejecutados por una persona que carece de la representación legal de la sociedad (falsus procurator), examinando los alcances y restricciones de la representación en la Ley General de Sociedades, se advierte que, si bien establece que tales actos no vinculan a la sociedad, es imprescindible determinar la sanción correspondiente, ya que la normativa societaria no especifica cuál debe aplicarse.

En este estudio, el autor pretende ofrecer propuestas sobre la categoría jurídica pertinente, asegurando su coherencia con la naturaleza del derecho societario, la salvaguarda del interés social y la protección del tercero de buena fe, con el objetivo de garantizar el libre desarrollo económico sin trabajos burocráticos o administrativos.

Para ello, el autor examina los actos ultra vires y la responsabilidad de quienes hayan celebrado contratos que excedan los límites de su objeto social, así como las implicaciones de tales actos.

In accordance with the main objectives, the purpose of this thesis was to identify the category and legal implications of the acts executed by a person who lacks legal representation of the company (falsus procurator), examining the scope and restrictions of the representation in the General Corporate Law, it is noticed that, although it establishes that such acts do not bind the company, it is essential to determine the corresponding sanction, since the corporate regulations do not specify which one should be applied.

In this study, the author intends to offer proposals on the relevant legal category, ensuring its coherence with the nature of corporate law, the safeguarding of the corporate interest and the protection of the third party in good faith, with the objective of guaranteeing free economic development without bureaucratic or administrative work.

To this end, the author examines ultra vires acts and the liability of those who have entered into contracts exceeding the limits of their corporate purpose, as well as the implications of such actions.
